Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, demos, Dashboard, SDKs, and APIs operated by North Model Labs, Inc. (“NORTH”, “we”, “us”), including northmodellabs.com and dashboard.northmodellabs.com (together, the “Service”).

By accessing the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

1. The Service

NORTH provides AI avatar inference services, including the NORTH Realtime Avatar model, accessible through public demos on the marketing site, the Dashboard, and the REST/WebRTC APIs. The Service is provided on a pay-as-you-go basis for the Rendering tier and on a custom-contract basis for the Interactive and Enterprise tiers. See /pricing for current pricing.

2. Account and access

You are responsible for the accuracy of the information you provide when creating an account, for keeping your credentials secure, and for all activity that occurs under your account or API keys. You must immediately notify us at eric@northmodellabs.com if you believe your credentials have been compromised.

3. Acceptable use

You agree not to use the Service to:

• Create or distribute content that impersonates a real person without their explicit, informed consent, including any non-consensual intimate imagery or content designed to deceive about an individual's identity, statements, or actions (often called “deepfakes”).
• Generate content involving minors in any sexualized, harmful, or exploitative context.
• Generate disinformation, election or political deception content, fraudulent identity content, or content designed to harass, threaten, or defame any person or group.
• Violate any law, including export-control, sanctions, and intellectual-property laws.
• Attempt to reverse-engineer the Service, the NORTH model weights, or any underlying technology except to the extent permitted by applicable law.
• Probe, scan, or test the vulnerability of the Service, or attempt to defeat any rate limit, authentication mechanism, or quota, except via responsible disclosure to eric@northmodellabs.com.
• Use the Service to build or train a competing avatar generation model.

We may suspend or terminate access at any time if we reasonably believe you have violated this section.

4. Customer content

“Customer Content” means face images, audio, scripts, and other inputs you submit to the Service, and the avatar video output produced from them. You retain all rights you have in your Customer Content. You grant us a worldwide, royalty-free license to process Customer Content solely to provide the Service to you. We do not use Customer Content to train, fine-tune, or evaluate any NORTH model.

You represent that you have all rights and consents necessary to submit each face image you upload, including consent from the person depicted. You are solely responsible for the lawfulness of your inputs and outputs.

5. Fees and billing

Paid usage of the Service is metered and billed according to the pricing on /pricing or as set out in your customer agreement. Fees are exclusive of taxes; you are responsible for applicable sales, use, VAT, or similar taxes. Unpaid invoices accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

6. Intellectual property

The Service, including the NORTH model, software, branding, and documentation, is owned by NORTH and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. All other rights are reserved.

7. Confidentiality

Each party will protect the other's non-public information disclosed in connection with the Service using at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care.

8. Warranty disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, NORTH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. NORTH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUTS WILL BE ACCURATE, COMPLETE, OR FREE OF HARMFUL CONTENT.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NORTH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NORTH'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE IN THAT PERIOD, OR ONE HUNDRED U.S. DOLLARS (USD $100) IF YOU HAVE NOT PAID NORTH ANYTHING.

10. Indemnification

You will defend, indemnify, and hold harmless NORTH and its officers, directors, employees, and agents from and against any third-party claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of or related to your Customer Content, your use of outputs, or your breach of these Terms, including any violation of Section 3 (Acceptable use) or Section 4 (Customer content).

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms, for legal or regulatory reasons, or with reasonable notice for any other reason. Sections that by their nature should survive termination (including Sections 4, 6, 8, 9, 10, 12, and 13) will survive.

12. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The exclusive venue for any dispute is the state and federal courts located in Delaware, and you consent to personal jurisdiction in those courts. The UN Convention on Contracts for the International Sale of Goods does not apply.

13. Changes

We may update these Terms from time to time. Material changes will be reflected in the “Last updated” date at the top of this page. Your continued use of the Service after a change constitutes acceptance.
